One room.One key.
Dataroom Desk builds and hosts private investor pages for companies raising capital. Each offering gets a page at its own address, in the company's brand, behind a key: a password for the investors the company chooses.
Inside a room
- The terms
What is on offer and on what terms, as the company states them.
- The team
Who runs the company, including the principals an investor would meet.
- The risks
Potential risks and important considerations are presented in a dedicated section of the data room, allowing investors to review them alongside the opportunity's supporting materials.
- The documents
Documents are securely hosted by the client's chosen storage provider and accessed through individual file links. Each client maintains full control over document permissions and access. Files are not stored directly within the data room, and data room access does not automatically grant access to individual documents.
- The next step
An initial meeting with the company's principals. A room doesn't take investments or payments.
The key
- Password
- One per room, shared by everyone invited to it. The company decides who gets it, along with the address.
- Signed in
- 30 days, in that browser only. A different phone or browser asks again.
- Changed
- When the company asks, we redeploy the room with a new key. Browsers signed in with the old one are asked for the new one.
- Search engines
- Asked not to crawl or index the room.
Questions
If you were invited
- How do I know a room is genuine?
- Look at the address bar before you type the key. The site name must end in .dataroomdesk.com with nothing after it: name.dataroomdesk.com, not name.dataroomdesk.com.example.net.
- Notice: Someone sent me wire instructions.
- They didn't come from a room. Rooms never show payment or wire details. Before you send anything, call the company on a number you already know and confirm the instructions with them.
If you're raising
- Can we have a room, or see one first?
- There's no sign-up or price list here, and no room we can show: each one is open only to the investors its company invites.
- Will it look like us?
- It should. Your colors, fonts and photographs, checked at phone and desktop widths.
- Can we see who opened the room?
- No. Rooms have no analytics or ad trackers, and their one cookie only keeps a browser signed in. Keep your own list of who has the key.
